Terms and Conditions for Smart & Sassy Marketing Social Media Consultants
These Terms and Conditions ("Agreement") govern the provision of social media consulting services by Smart & Sassy Marketing ("Consultant") to its clients ("Client"). By engaging the services of Smart & Sassy Marketing, the Client agrees to the following terms:
1. Scope of Services: Smart & Sassy Marketing agrees to provide social media consulting services to the Client as agreed upon in writing or through electronic communication. The scope of services may include but is not limited to social media strategy development, content creation, event planning, community management, and analytics reporting.
2. Client Responsibilities: The Client agrees to provide all necessary information, access, and materials required for the provision of services by Smart & Sassy Marketing. This includes access to relevant social media accounts, branding guidelines, and any other assets deemed necessary for the completion of the project.
3. Confidentiality: Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This includes but is not limited to business strategies, trade secrets, and customer data. Confidential information shall not be disclosed to any third party without prior written consent.
4. Intellectual Property: Any intellectual property developed or created by Smart & Sassy Marketing during the course of the engagement shall remain the property of Smart & Sassy Marketing unless otherwise agreed upon in writing. The Client shall have the right to use such intellectual property solely for the purposes outlined in this Agreement.
5. Payment Terms: The Client agrees to pay Smart & Sassy Marketing the agreed-upon fees for the services provided. Payment terms, including the amount, method, and schedule of payments, shall be specified in the project proposal or invoice provided by Smart & Sassy Marketing. Payments not received within the specified timeframe may result in suspension of services.
6. Termination: Either party may terminate this Agreement upon written notice to the other party. In the event of termination, the Client shall pay Smart & Sassy Marketing for all services rendered up to the date of termination in accordance with the payment terms outlined in this Agreement.
7. Limitation of Liability: Smart & Sassy Marketing shall not be liable to the Client or any third party for any indirect, incidental, consequential, or punitive damages arising out of or related to the services provided under this Agreement. The total liability of Smart & Sassy Marketing under this Agreement shall not exceed the total fees paid by the Client.
8. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of State of Arkansas. Any disputes arising under or in connection with this Agreement shall be resolved exclusively by the courts of State of Arkansas
9. Entire Agreement: This Agreement constitutes the entire understanding and agreement between Smart & Sassy Marketing and the Client with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements and understandings, whether written or oral.
By engaging the services of Smart & Sassy Marketing, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
Guarantee and Refund Policy for Smart & Sassy Marketing
At Smart & Sassy Marketing, we are committed to providing exceptional services to our clients. We stand behind the quality of our work and strive to ensure client satisfaction. To demonstrate our commitment, we have established the following Guarantee and Refund Policy:
1. Satisfaction Guarantee: We guarantee the quality and effectiveness of our services. If, for any reason, a client is not satisfied with the services provided by Smart & Sassy Marketing, we will make every effort to address their concerns and rectify the situation promptly.

By engaging the services of Smart & Sassy Marketing, clients acknowledge that they have read, understood, and agree to be bound by the terms of this Guarantee and Refund Policy.
